SOX 404 - Compliance with the Sarbanes Oxley Act

What is it ?

The Sarbanes-Oxley Act of 2002 is administered by the Securities and Exchange Commission (SEC) and is designed to improve investor confidence in publicly held companies through increased corporate governance. Section 404 of the Act addresses the requirement of corporate management and their outside auditors to document their opinion on the effectiveness of internal controls over financial reporting. These statements are required to be documented in the annual report. “SOX”, as it has been called, is the most important corporate reform legislation in the United States since the Securities and Exchange Act of 1934. Congress enacted SOX in response to the wave of corporate scandals and failures that included Enron and WorldCom. The objective of SOX is to protect the interests of shareholders and the public by preventing fraudulent practices and accounting inconsistencies. The SOX Act imposes new standards of accountability for the officers and directors of corporations and their outside auditing firms.
